- Counsel to companies with respect to the planning, acquisition, disposition, leasing, financing, construction and development of real property from initial site identification, through due diligence, permitting and approvals, closing and construction. Such representation includes shopping center, restaurant, industrial, office and mixed-use projects for tenants, developers and landlords in both urban and suburban areas.
- Counsel to owners, developers, contractors, architects and engineers with respect to the preparation and negotiation of construction contracts, site development agreements, construction manager agreements, design-build agreements, engineering, procurement and construction agreements and architect, engineer and other consultant agreements. Such representation includes American Institute of Architects documents, Design-Build Institute of America documents and industry form documents. Further, such representation includes assisting clients with respect to the construction process, permitting, zoning, mechanic's liens and construction close-out.
- Counsel to companies with respect to condominiums, multi-parcel assemblages and other complex development transactions.
- Counsel to companies regarding title and survey issues, title policies and title claims.
- Counsel to companies regarding consultant and vendor services agreements.
- Represented multiple national and regional restaurant chains (both owner-operated, franchisors and franchisees) in the acquisition and lease of real property throughout the United States for the development of over 400 new restaurants.
- Worked as in-house real estate, mergers and acquisition and franchise counsel for two national restaurant chains (franchisor) in the development, purchase and leasing of new restaurants and the sale and conversion of company owned restaurants to franchisee owned restaurants and vice versa, including the sale of anywhere from 3 to 75 restaurants in a single transaction.
- Represented REITS and other landlords in the leasing of over 5 million s.f. of industrial, retail and office space throughout the United States.
